The Board of Directors of Blue Nile, Inc. (the “Company”) has documented the governance practices followed by the Company and our Board of Directors by adopting the Corporate Governance Policies. The Governance Policies provide the Board of Directors with the necessary authority to review and evaluate our business operations, as needed, and they are designed to facilitate the Board of Directors' independent decision making authority. The Governance Policies are intended to align the interests of directors and management with those of our stockholders.
On August 2, 2011, Blue Nile's Board of Directors updated Blue Nile's Code of Business Conduct and Ethics to, among other things: change its name, clarify certain provisions, and provide additional guidance regarding acceptable and unacceptable conduct.
